These Hudl Assist Terms (“Assist Terms”) are an addendum to, and incorporated into by this reference, (a) the written agreement entered into between Hudl and Organization or, if no such written agreement exists, (b) the Organization Terms of Service (in either case, the “Organization Terms”) and are entered into between Organization and Hudl as of the Effective Date (defined below). Organization is also subject to the AUP. Any capitalized terms not defined below have the meaning given to them in the Organization Terms.
These Assist Terms are effective between Organization and Hudl as of, the earlier of, the date of Organization accepting these Assist Terms or using Hudl Assist (the “Effective Date”).
1. Hudl Assist
1.1. Hudl Assist (“Hudl Assist”) is an add-on service to the Hudl subscription software service that allows Organizations to upload and send Game Video or Scout Video (collectively, “Film”) to Hudl’s professional analysts and receive a tagged game for both sides of the ball, including complete team and, in all sports but American football, player stats (a “Breakdown”). In-depth reports are automatically generated from the tagged video, allowing teams to study more in less time. 1.2. Breakdowns are only available for Game Video and Scout Video. “Game Video”, for purposes of Hudl Assist, means video of games or competitions in which Organization’s applicable Team participates, submitted for purposes of analyzing the applicable Team’s own performance. “Scout Video” for purposes of Hudl Assist means video of games or competitions played by Organization’s direct competitors, submitted for purposes of preparing for future competition. Scout Video does not include Game Video submitted for player recruiting purposes or video of professional or collegiate teams which do not constitute the Organization’s competitors.
2. Eligibility and Technical Requirements
2.1. Hudl Assist is available for purchase by any Organization with an active Hudl subscription. Hudl Assist is not available for all sports. Hudl Assist is only supported on certain versions of the Platform. If Organization is using an older version of the Platform, Hudl may require Organization to upgrade to use Hudl Assist. Please note that Hudl Assist is a Team-specific add-on and Breakdowns cannot be transferred across sports or between different Teams.
2.2. To analyze Organization’s game footage, Hudl requires that Organization’s Film meet certain technical and filming requirements:
2.3. Organization will follow the required recording workflow for the applicable sport. Failure to follow the required recording workflow may result in Film being rejected for poor quality.
2.4. Breakdowns sold as 24-hour Breakdowns will be returned to Organization via the Platform within 24 hours of the completed submission to Hudl Assist via the Platform, provided the Film is of acceptable quality. Breakdowns sold as 12-hour Breakdowns will be returned to you via the Platform within 12 hours of the completed submission to Hudl Assist via the Platform, provided the Film is of acceptable quality. Breakdowns sold as 6-hour Breakdowns will be returned to you via the Platform within 6 hours of the completed submission to Hudl Assist via the Platform, provided the Film is of acceptable quality. The upload duration may depend on Organization’s internet connectivity. Organization is solely responsible for all internet service, mobile, data charges and/or other fees and costs associated with Organization’s access to and use of Hudl Assist, as well as for obtaining and maintaining all such internet or mobile connectivity, camera, and/or computer hardware that may be required for such access and use.
2.5. Please note if a Hudl sports analyst is unable to analyze Organization’s Film due to poor Film quality, the footage will be returned, and Organization will have the opportunity to upload a new copy of the Film. In assessing Film quality, Hudl’s analysts review whether they can tag all required fields. Film will be rejected if Hudl’s analysts are unable to tag all required fields. Hudl will NOT be able to provide a 24-hour (or shorter) turnaround in such an event. Hudl reserves the right to reject any Film or to refuse a Breakdown for any reason in its sole, but reasonable, discretion. Reasons why a Breakdown may be refused include, but are not limited to:
2.6. Requests to combine video will be rejected and sent back to Organization with a note to call or email Hudl Support. Organization will not be debited for a refused Breakdown. For more information, please see Hudl’s account set-up information, as may be updated from time to time.
3. Pricing Packages, Renewals and Use Restrictions
3.1. Breakdowns are offered on an à la carte basis via a Pay-As-You-Go model or in unlimited packages via a Seasonal Subscription. Custom packages may be available to club teams that desire a specific quantity of Breakdowns. Pricing details are available at www.hudl.com, as may be updated from time to time.
3.2. Individually-purchased Breakdowns (“Credits”) will automatically expire five years after Organization purchases them. Notwithstanding the previous sentence, Hudl may cancel Credits for a particular sport if it stops offering Hudl Assist for the applicable sport. If that occurs, Hudl will permit Organization to apply any unused, unexpired Credits toward other services or products provided by Hudl.
3.3. Each registered Team, other than American Football Teams, is limited to three (3) total Breakdown submissions per day. American Football Teams are limited to five (5) total Breakdown submissions per day.
